Metrico is a product of Metrico Technologies Private Limited (“Metrico”, “Company”, “we”, “our”, “us”).

1. Acceptance of Terms

Metrico Technologies Pvt. Ltd. owns and operates the website www.metrico.tech and its associated subdomains including but not limited to app.metrico.tech, manage.metrico.tech, and other related micro-sites (collectively, the “Site”).

By accessing or using the Site or Services, you agree to be bound by these Terms & Conditions, our Privacy Policy, and any additional operational policies referenced herein.

If you do not agree to these Terms in full, you must not use the Services.

We reserve the right to update or modify these Terms at any time. Material amendments will be highlighted via interface notices. Continued use of the Services after changes constitutes explicit acceptance of the revised Terms.

2. Grant of License

Metrico grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Metrico SaaS platform solely for your internal business purposes and in accordance with these Terms.

No intellectual property or ownership rights are transferred under this Agreement.

3. Registration & Account Responsibility

By registering on Metrico, you agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain updated billing data and business configuration details.
  • Safeguard your login credentials and restrict access to unauthorized parties.
  • Accept full operational responsibility for all activities occurring under your account.
  • Notify Metrico immediately of any security vulnerabilities or unauthorized access.
  • Pay all applicable subscription fees, usage charges, and platform taxes on time.

You are solely responsible for all programmatic or manual actions performed through your unique workspace tokens.

4. Data Ownership & Processing Roles

4.1 Ownership of Data

All data uploaded, stored, or generated by you on the platform, including leads, contact details, communication histories, emails, messages, files, and auto-generated reports (“Customer Data”), remains your exclusive property.

Metrico acts solely as a data processor and does not claim ownership, marketing distribution rights, or authority over Customer Data.

5. Payments, Billing & Subscription

5.1 Subscription-Based Model

Metrico operates on a subscription-only pricing model. Customers are required to subscribe to a selected plan for a predefined billing period (monthly or annually, as applicable).

All platform services, reporting interfaces, and automated pipelines are provided only against an active, prepaid subscription.

5.2 Billing & Invoicing

Invoices may be issued for financial record-keeping and corporate procurement purposes. Issuance of an invoice does not imply usage-based or postpaid billing. Subscription fees are payable entirely in advance as per the selected tier metrics.

5.3 Subscription Charges

Subscription fees are calculated based on the specific number of active user slots selected at the time of purchase and are payable for the entire subscription term, irrespective of actual usage.

5.4 Price Validity

The subscription price agreed upon at the time of signup shall remain valid for one (1) year from the subscription start date, unless otherwise stated in writing.

5.5 Renewal & Continuity

Subscriptions do not automatically renew unless explicitly enabled by the client administrator. Customers are entirely responsible for renewing their subscription before the explicit expiry timestamp to avoid structural service interruption.

5.6 Account Blocking & Data Retention Policy

If a subscription expires and remains unpaid for 60 consecutive days, Metrico reserves the right to permanently purge Customer Data from our cloud databases after providing 30 days’ prior notice via email. Metrico shall not be liable for any data loss arising from such compliance deletions.

5.7 Refunds & Billing Disputes

All paid subscription fees are strictly non-refundable. Any billing disputes must be raised in writing within 60 days of invoice issuance, failing which charges are deemed final.

6. Support & Maintenance

6.1 Support Scope

Metrico provides technical support via remote digital means only. Onsite engineering support, if requested and offered, will be chargeable between ₹500 and ₹4,000 per technical visit.

6.2 Support Access Permissions

Metrico developers or agents may access customer databases solely for troubleshooting, debugging, and support optimization purposes. Customers may opt out by written request, in which case support protocols will be restricted entirely to voluntary screen-sharing environments.

6.3 Ticket Resolution Timeframes
  • Information / How-To tickets: Handled within 4 working hours.
  • Technical system bugs: Handled within 8 working hours.
  • Complex module custom issues: Resolved within 3 working days.

Standard support operational hours: 10:30 AM – 6:30 PM IST, Monday–Friday, excluding regional public holidays.

7. Third-Party Integrations

Metrico may integrate with third-party software structures including but not limited to Meta Developer tools (Facebook Lead Ads), inbound email routers, webhooks, and payment gateways.

Metrico is not responsible for the availability, ongoing API functionality, data policies, or abrupt deprecation of third-party services. Use of such third-party services is governed exclusively by their respective developer terms.

8. Acceptable Use & Restrictions

You shall not, under any circumstances:

  • Use the platform to execute spam campaigns, bulk unsolicited messaging, or illegal marketing.
  • Violate data protection, TRAI telecom regulations, or anti-spam laws within India.
  • Scrape, crawl, reverse engineer, extract database structures, or run performance benchmarks on the platform infrastructure.
  • Upload malware, trojans, ransomware, or harmful malicious code blocks into cloud directories.
  • Attempt unauthorized privilege escalation, access separate client databases, or breach security walls.

Metrico reserves the right to instantly suspend or terminate client workspaces violating these operational rules without any warning or financial liability.

9. Service Availability & SLA Disclaimer

Metrico strives for high availability but does not guarantee uninterrupted runtime service. Temporary downtime may occur due to standard scheduled maintenance, network infrastructure updates, or cloud provider failures.

Unless a separate Service Level Agreement (SLA) is signed in writing, no explicit uptime guarantees are provided.

10. Limitation of Liability

The Services are provided on an “AS IS” and “AS AVAILABLE” structural basis without warranties of any kind, either express or implied.

Metrico shall not be liable for:

  • Loss of business profits, corporate revenue, data records, or sales metrics.
  • Operational business interruption or loss of production time.
  • Third-party platform penalties, Meta ad account suspensions, or email domain blacklisting.

The maximum aggregate liability of Metrico for any verified legal claim arising out of the use of this software shall not exceed ₹1,000 (Indian Rupees) or the total fees paid by the client in the three (3) months preceding the claim, whichever is lower.

11. Termination

You may cancel your subscription at any time within your administrative billing dashboard.

Metrico may suspend or terminate workspace access if:

  • You breach any explicit clause within these Terms.
  • Your subscription payments remain overdue past the grace period.
  • Compelled by law enforcement or regulatory authorities.
  • Continued tenant usage poses clear security, legal, or reputational risks to the platform ecosystem.

Upon subscription termination, a standard sql/csv data backup loop will be provided only if explicitly requested within 30 days of closure.

12. Monitoring & Legal Disclosure

Metrico retains the right to monitor system request logs, database loads, and automated file transfers to ensure platform security and regulatory compliance. System data may be disclosed if required by law, explicit court orders, or statutory Indian government warrants.

13. Indemnification

You agree to indemnify, defend, and hold harmless Metrico, its corporate directors, engineering employees, and infrastructure partners from any legal claims, regulatory fines, structural damages, penalties, or financial losses arising from:

  • Your direct misuse or unauthorized deployment of the platform modules.
  • Violation of telecom laws, consumer protection acts, or third-party intellectual rights.
  • The integrity or legality of the Customer Data uploaded by your users.

14. Force Majeure

Metrico shall not be liable for any platform failure or delay caused by events completely beyond its reasonable control, including natural disasters, internet infrastructure breaks, country-wide network routing disruptions, government policy overhauls, strikes, or civil disturbances.

15. Governing Law & Arbitration

All parameters of these Terms shall be governed entirely by the laws of India. Any unresolved disputes, claims, or conflicts originating from this platform contract shall be referred to and resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.
